These Terms of Use (“Terms”) govern your access to and use of the website https://solazu.com/ (the “Site”), operated by Solazu JSC (“we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree with any part of these Terms, you must not access or use the Site.

YOUR USE OF THE SITE CONSTITUTES A LEGALLY BINDING AGREEMENT. PLEASE READ THESE TERMS CAREFULLY. 

1. Binding Agreement:

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all applicable laws and regulations.

We reserve the right to modify or update these Terms at any time, at our sole discretion. All changes become effective when posted. Your continued use of the Site following any such changes indicates your acceptance of the updated Terms. We encourage you to review these Terms periodically. If you do not agree to the revised Terms, you must immediately stop using the Site.

You represent and warrant that you are at least the age of majority in your jurisdiction and that you have the legal capacity to enter into these Terms.

2. Limited License:

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Site for informational and lawful purposes only. Any use of the Site not expressly authorized herein is prohibited. We reserve all rights not expressly granted to you herein.

All content, features, and functionalities on the Site—including but not limited to text, graphics, logos, icons, images, trademarks, service marks, software, and other materials (collectively, “Content”)—are owned by or licensed to us. All rights, title, and interest in and to such Content are reserved.

2. Restrictions:

• Modify, copy, reproduce, republish, upload, post, transmit, distribute, or sell any Content in any manner or medium without our prior written consent.
• Use any trademarks, service marks, or logos appearing on the Site without our express written permission or that of the respective rights holder.
• Remove, obscure, or alter any proprietary notices or legends from the Site or any Content. 

1. Prohibited Activities:

You agree that you will not:

• Use the Site for any unlawful purpose or in violation of any applicable laws and regulations.
• Interfere with or disrupt the operation of the Site or servers/networks used to make the Site available.
• Engage in data mining, scraping, or harvesting of content or personal information.
• Introduce viruses, malware, or any other harmful code.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorized access to the Site, other user accounts, or any systems or networks connected to the Site.

2. User Submissions:

If you choose to submit any materials to us through the Site (e.g., via contact forms or email), you represent and warrant that you have all necessary rights and permissions to do so. By submitting materials, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, and display such materials for the purpose of providing and promoting the Site and our services. You agree not to submit any material that is unlawful, defamatory, infringes any third-party intellectual property, or otherwise violates these Terms. 

1. As-Is Basis:

The Site and all Content are provided on an “as-is” and “as available” basis, without warranties of any kind, express or implied.

2. No Guarantee:

We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We also do not guarantee the accuracy, completeness, or reliability of any information provided on or through the Site.

3. Applicable Law:

Some jurisdictions do not allow certain warranty disclaimers. To the extent that such laws apply, some or all of the above disclaimers may not apply to you, and you may have additional rights.

4. No Fiduciary Duty:

By providing the Site, we do not undertake any fiduciary obligations or responsibilities to you or any other party.

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages arising out of or related to these Terms or your use of the Site, even if we have been advised of the possibility of such damages.

2. Aggregate Liability:

Our total liability to you for any claims arising out of or related to these Terms or your use of the Site shall not exceed the greater of the amount you have paid to us, if any, for accessing or using the Site or our services in the twelve (12) months preceding the event giving rise to the liability, or [USD 100], whichever is lesser.

3. Jurisdictional Limitations:

Because some jurisdictions do not allow the exclusion or limitation of liability for certain damages, the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law. 

You agree to indemnify, defend, and hold harmless [Solazu JSC], its affiliates, officers, directors, employees, agents, and licensors from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, violation of these Terms, or infringement of any intellectual property or other right of any person or entity. You will cooperate as fully as reasonably required in the defense of any such claim.

The Site may contain links to third-party websites and services that are not under our control. We are not responsible for the content, privacy policies, or practices of any third-party sites. Your use of any linked sites is at your own risk and subject to their respective terms and conditions. We disclaim all responsibility and liability for any harm resulting from your use of such third-party websites and services. 

You agree to comply with all applicable laws and regulations of the Socialist Republic of Vietnam and any other applicable jurisdictions when using the Site. You will not use the Site in any manner that may cause us to be in violation of any law or regulation. You acknowledge and agree that it is your responsibility to ensure that your use of the Site is lawful and does not violate any applicable laws, regulations, or third-party rights.

We reserve the right, in our sole discretion, to suspend or terminate your access to the Site at any time and without prior notice if we believe you have breached these Terms or for any other reason, including our decision to discontinue the Site. In the event of termination, the disclaimers, limitations of liability, and indemnification provisions set forth in these Terms will survive.

These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict of law principles.

2. Dispute Resolution:

Any dispute arising out of or related to these Terms or the Site shall be resolved through amicable negotiations. If no resolution is reached, the dispute shall be submitted to the competent courts of Vietnam, unless another method of dispute resolution is mutually agreed upon.

3. No Class Actions:

To the fullest extent permitted by law, all disputes shall be resolved on an individual basis, and you agree not to bring any claim as a plaintiff or class member in any purported class or representative proceeding.

The Site may include one or more blogs or blog-like sections (“Blog”) containing articles, posts, commentary, and other materials (collectively, “Blog Content”). All Blog Content is provided solely for general informational and entertainment purposes. No Blog Content constitutes, or should be relied upon as, professional or legal advice or any other form of formal recommendation.

2. Accuracy and Reliability:

We do not warrant or guarantee the accuracy, completeness, reliability, or timeliness of any Blog Content. You acknowledge that any reliance you place on such Blog Content is strictly at your own risk.

3. Editorial Control and Modification:

We reserve the right, in our sole discretion and without notice, to edit, modify, remove, or restrict access to any Blog Content at any time, including content created by us, our affiliates, or third parties.

4. User Contributions and Comments:

If the Blog allows user-generated comments, posts, or other submissions, you agree that Section 4.2 (User Submissions) applies to all such contributions. You further acknowledge that all user-generated content reflects solely the opinions of the author(s) and not necessarily our views. We disclaim any liability for such user content.

5. No Endorsement:

Unless expressly stated, any references, hyperlinks, or opinions expressed in the Blog do not constitute or imply endorsement, sponsorship, or recommendation by us.

6. Applicability of Other Terms:

All disclaimers, limitations of liability, and indemnification provisions set forth in these Terms, including those related to Content, apply fully to the Blog and any Blog Content. 

1. Content Sourcing:

The Site may incorporate images and other content sourced from free stock image websites for the purpose of enhancing its visual presentation.

2. Attribution:

Where required by the applicable licensing terms, we will make reasonable efforts to provide appropriate attribution to the original creators of such images.

3. Non-Commercial Use:

All content obtained from free stock image websites is utilized solely for non-commercial purposes on the Site. We do not sell, redistribute, or otherwise exploit such content for commercial gain.

4. No Claim of Ownership:

We do not claim ownership of any content obtained from free stock image websites. All copyrights and intellectual property rights remain with their respective creators, licensors, or other rightful owners.

5. Report a Concern:

6. Compliance with Licensing Terms:

1. Severability:

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

2. No Waiver:

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

3. Entire Agreement:

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Solazu JSC concerning the use of the Site.

4. Force Majeure:

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbances, governmental actions, labor conditions, power failures, and internet disturbances.
